Introduction Thank you for your interest in the Universal Basic Smartphone (UBS) and the exclusive passes offered by Oyster Labs. These Terms of Service ("Terms") govern the use of the passes and are binding between you ("you" or "user") and Oyster Labs ("we", "us", "our"). By claiming and using any of the passes, you agree to these Terms.

Eligibility Eligibility for the Founder Pass: Only customers who have completed the preorder of the Founder Series of the Universal Basic Smartphone are eligible to claim the Founder Pass. The Founder Series is limited to 12,000 units.

Eligibility for the FWB Pass: The FWB Pass is provided off-chain upon ordering and is nonrefundable. It is automatically assigned to the designated wallet address associated with the order.

Claiming the Passes Founder Pass Verification Process: To claim your Founder Pass, please access our dedicated portal and verify your TON wallet that was registered during your purchase. This verification process confirms your eligibility and secures your Founder Pass.

FWB Pass Assignment: The FWB Pass is automatically assigned to the designated wallet address at the time of purchase. There is no need for further verification.

Effects of Claiming the Passes Finalization of Preorder for Founder Pass: Upon successful verification and claiming of the Founder Pass, your preorder is finalized and becomes non-cancellable. By claiming the Founder Pass, you acknowledge and accept that your purchase commitment is binding and subject to the current Terms.

Automatic Finalization for FWB Pass: The FWB Pass is automatically finalized upon order and is nonrefundable. By purchasing and receiving the FWB Pass, you acknowledge and accept that your purchase commitment is binding and subject to the current Terms.

Benefits Exclusive Benefits of the Passes: As a holder of any of the passes, you will enjoy exclusive benefits, including but not limited to:

• Special features incorporated into your UBS.

• Future discounts on products and services offered by Oyster Labs.

• Preferential eligibility for airdrops.

• Early access to upcoming products, ensuring you are among the first to experience our latest innovations.

General Conditions Modification and Termination: Oyster Labs reserves the right to modify, suspend, or discontinue the benefits of the passes at any time without notice. However, we will endeavor to notify you of significant changes.

Intellectual Property Ownership and Rights: The passes and all related content, trademarks, and designs are owned by Oyster Labs and protected under intellectual property laws. You agree not to copy, modify, distribute, sell, or lease any part of our services or included software.

Dispute Resolution Arbitration: Any disputes arising under these Terms will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You waive any right to participate in a class action lawsuit or class-wide arbitration.

Governing Law Jurisdiction: These Terms shall be governed by and construed in accordance with the laws of the State where Oyster Labs is headquartered, without regard to its conflict of law provisions.

Changes to Terms Updates to Terms: We reserve the right to update these Terms at any time. Changes will be effective immediately upon posting the updated Terms on our website. Your continued use of the passes after such changes will constitute your consent to the updated Terms.
